4、约定Article1GeneralAgreement1.1词语定义和解释1.1 DefinitionandInterpretationofTerms合同协议书、通用合同条件、专用合同条件中的下列词语应具有本款所赋予的含义：Thefollowingtermsinthecontractagreement,generalconditionsandparticularconditionsofcontractshallhavethemeaninggiveninthisarticle:1.1.1 合同1.1.lContract1.1.1.l合同是指根据法律规定和合同当事人约定具有约束力的文件，构成合同的文

5、件包括合同协议书、中标通知书(如果有)、投标函及其附录(如果有)、专用合同条件及其附件、通用合同条件、发包人要求、承包人建议书、价格清单以及双方约定的其他合同文件。1.1.1.1 Contract:referstothebindingdocumentsundertheprovisionsoflawandagreementofthepartieshereto.Thedocumentsconstitutingthecontractincludethecontractagreementthenoticeofwinningbid(ifany),thebidletteranditsappendix(if

6、any),theparticularcontractconditionsandtheirattachments,thegeneralcontractconditions,theemployersRequirements,thecontractorsproposal,thepricelistandothercontractdocumentsagreedbytheparties.第2条发包人Article2Employer2.1 遵守法律2.1ComplianceWith1.aws发包人在履行合同过程中应遵守法律，并承担因发包人违反法律给承包人造成的任何费用和损失。发包人不得以任何理由，要求承包人

7、在工程实施过程中违反法律、行政法规以及建设工程质量、安全、环保标准,任意压缩合理工期或者降低工程质量。Theemployershallcomplywithlawsintheprocessoffulfillingthecontractandbearanyandallexpensesandlossescausedtothecontractorduetoitsviolationordefaultlaw.Theemployershallnotzforanyreason,requirethecontractortoviolatethelaws,administrativeregulationsandth

8、equality,safetyandenvironmentalprotectionstandardsoftheconstructionprojectduringimplementationoftheproject,arbitrarilyreducethereasonabletimelimitorreducethequalityoftheproject.2.2提供施工现场和工作条件2.2 Provisionofconstructionsiteandworkingconditions2.2.1 提供施工现场2.2.2 ProvisionofConstructionSite发包人应按专用合同条件约定

9、向承包人移交施工现场，给承包人进入和占用施工现场各部分的权利，并明确与承包人的交接界面，上述进入和占用权可不为承包人独享。如专用合同条件没有约定移交时间的，则发包人应最迟于计划开始现场施工日期7天前向承包人移交施工现场，但承包人未能按照第4.2款履约担保提供履约担保的除外。Thecontractorshallhandovertheconstructionsitetothecontractorinaccordancewiththetermsofthespecialcontract,givethecontractortherighttoenterandoccupyallpartsofthecons

10、tructionsitezinadditiontoclarifytheinterfacewiththecontractor.Theaboveaccessandoccupationrightsmaynotbeexclusivetothecontractor.Iftheparticularconditionshereoffailtospecifythetimeoftransfer,thecontractorshallhandovertheconstructionsitetothecontractornolaterthan7dayspriortotheplannedcommencementdateo

11、fthesiteconstruction,unlessthecontractorfailstoprovideaperformanceguaranteeinaccordancewitharticle4.2.3.3工程师3.3Engineer3.3.1 发包人需对承包人的设计、采购、施工、服务等工作过程或过程节点实施监督管理的,有权委任工程师。工程师的名称、监督管理范围、内容和权限在专用合同条件中写明。根据国家相关法律法规规定，如本合同工程属于强制监理项目的，由工程师履行法定的监理相关职责，但发包人另行授权第三方进行监理的除外。3.3.2 Providedthatiftheemployerisne

12、cessarytosuperviseandmanagethecontractorsdesign,procurement,construction,serviceandotherworkprocessesorprocessnodeszheshallhavetherighttoappointanengineer.Theengineersnamezscope,contentandauthorityofsuperintendencemanagementorcontrolshallbestatedintheparticularconditionshereof.Underandincompliancewi

13、ththerelevantState*slawandregulations,ifsuchcontractengineeringprojectsaresubjecttocompulsorysupervision,theengineersshallperformanddischargetherelevantfunctionsanddutiesofthelegalsupervision,however,unlessotherwiseauthorizedbythecontractorforsupervisionbyathirdparty3.3.3 工程师按发包人委托的范围、内容、职权和权限，代表发包人

14、对承包人实施监督管理。若承包人认为工程师行使的职权不在发包人委托的授权范围之内的，则其有权拒绝执行工程师的相关指示，同时应及时通知发包人，发包人书面确认工程师相关指示的，承包人应遵照执行。3.3.4 Theengineershallsuperviseandadministerthecontractoronbehalfoftheemployerasperthescopezcontent,functionsandpowersentrustedbytheemployer.Ifthecontractorconsidersthattheauthorityexercisedbytheengineerisn

15、otwithinthescopeofauthorizationentrustedbytheemployer,heshallhavetherighttorefusetocarryouttherelevantinstructionsoftheengineer,andshallnotifytheemployerintime,however,iftheemployerconfirmsinwritingtherelevantinstructionsoftheengineer,thecontractorshallcomplywiththesame.3.3.5 在发包人和承包人之间提供证明、行使决定权或处理

16、权时，工程师应作为独立专业的第三方，根据自己的专业技能和判断进行工作。但工程师或其人员均无权修改合同，且无权减轻或免除合同当事人的任可责任与义务。3.3.6 Whenprovidingproofzexercisingtherightofdecisionorhandlingbetweentheemployerandcontractor,theengineershallworkasthirdpartywithindependentprofessional,basedonhisownprofessionalskillsandjudgment.However,neithertheengineernor

17、hispersonnelhastherighttomakeamendmentofcontract,andhasnorighttoreduceorrelieveanyresponsibilitiesandobligationsofthepartieshereto.3.3.7 通用合同条件中约定由工程师行使的职权如不在发包人对工程师的授权范围内的，则视为没有取得授权，该职权应由发包人或发包人指定的其他人员行使。若承包人认为工程师的职权与发包人(包括其人员)的职权相重叠或不明确时，应及时通知发包人，由发包人予以协调和明确并以书面形式通知承包人。3.3.8 Iftheauthoritytobeexer

18、cisedbytheeisnotwithinthescopeoftheemployersauthorizationtotheengineer,itshallbedeemednottohavebeenauthorized,andtheauthorityshallbeexercisedbytheemployerorotherpersondesignatedbytheemployer.Ifthecontractorconsiderstheengineer,sauthorityoverlapsorisnotclearwiththeemployersauthority(includingitsperso

19、nnel),theemployershallbenotifiedintimezandtheemployershallcoordinate,clarifyandnotifythecontractorinwriting.4.5.3分包人资质1.1.3 Qualificationsofsubcontractors分包人应符合国家法律规定的资质等级，否则不能作为分包人。承包人有义务对分包人的资质进行审查。ThesubcontractorshallbeconformingtothequalificationlevelstipulatedbyStateslaws,otherwiseitcannotbeas

20、ubcontractor.ContractorisobligedtocarryoutinspectionofsubcontractorSqualification.1.1.4 分包管理1.1.5 SubcontractingManagement承包人应当对分包人的工作进行必要的协调与管理，确保分包人严格执行国家有关分包事项的管理规定。承包人应向工程师提交分包人的主要管理人员表，并对分包人的工作人员进行实名制管理，包括但不限于进出场管理、登记造册以及各种证照的办理。Thecontractorshallcarryoutnecessarycoordinationandmanagementorcont

21、roloftheworkofthesubcontractor,useduediligencetoensurethesubcontractorstrictlyimplementstheStatezsmanagementregulationsoverthesubcontractingmatters.Thecontractorshallsubmitthelistofsubcontractorsmainmanagementpersonneltotheengineer,andperformthereal-namemanagementofthesubcontractor7sstaff,includingw

22、ithoutlimitationtothemanagementofentryandexitthesite,registration,inadditiontoprocessingofvariouscertificatesandlicence.1.1.6 分包合同价款支付1.1.7 PaymentofSubcontractPrice(1)除本项第(2)目约定的情况或专用合同条件另有约定外，分包合同价款由承包人与分包人结算，未经承包人同意，发包人不得向分包人支付分包合同价款；(1) Exceptforthecircumstancesstipulatedinarticle(2)ofthissubart

23、icleortheparticularconditionshereofotherwisestipulated,thesubcontractpriceshallbesettledbythecontractorandthesubcontractor,withoutthecontractorsconsent,theemployershallnotpaythesubcontractorthesubcontractprice;(2)生效法律文书要求发包人向分包人支付分包合同价款的，发包人有权从应付承包人工程款中扣除该部分款项，将扣款直接支付给分包人,并书面通知承包人。(2) Ifthelegalinst

24、rumentsinforcerequiretheemployertopaythesubcontractpricetothesubcontractor,theemployerhavetheauthoritytodeductsuchpartofthepaymentfromthecontractor,sprojectcostandpaythedeductiondirectlytothesubcontractorwithnoticeinwritingtothecontractor.4.6 联合体4.6Consortium4.6.1 经发包人同意，以联合体方式承包工程的，联合体各方应共同与发包人订立合同

25、协议书。联合体各方应为履行合同向发包人承担连带责任。4.6.2 ThepartiestotheconsortiumshallzwiththeemployersConsentjointlyconcludeacontractagreementwiththecontractor,bejointlyandseverallyliabletotheemployerfortheperformanceofthecontract.4.6.3 承包人应在专用合同条件中明确联合体各成员的分工、费用收取、发票开具等事项。联合体各成员分工承担的工作内容必须与适用法律规定的该成员的资质资格相适应，并应具有相应的项目管理体

26、系和项目管理能力，且不应根据其就承包工作的分工而减免对发包人的任何合同责任。4.6.4 ThecontractorshallspecifythedivisionofIaborzfeecollection,andinvoiceissuanceofeachmemberoftheconsortiumintheparticularconditionshereof.TheworkcontentofeachmemberoftheconsortiummustbeinlinewiththequalificationsofthememberrequiredbyapplicableIawszandshouldha

27、veacorrespondingprojectmanagementsystemandprojectmanagementabilityandcapability,andshallnotmitigateanycontractualliabilitytotheemployerasperitsdivisionoflaborinthecontractwork.4.6.5 联合体协议经发包人确认后作为合同附件。在履行合同过程中，未经发包人同意，不得变更联合体成员和其负责的工作范围，或者修改联合体协议中与本合同履行相关的内容。4.6.6 Theconsortiumagreementwithidentific

28、ationoftheemployershallbetakenastheappendixtocontract.Inthecourseofperformingthecontract,membersoftheconsortiumandtheirscopeofworkshall,withouttheemployer*sconsent,notbechangedorthecontentsoftheconsortiumagreementrelatedtotheperformancehereof.4.7 承包人现场查勘4.7Contractor7sInspectiononSite4.7.1 除专用合同条件另有

29、约定外，承包人应对基于发包人提交的基础资料所做出的解释和推断负责，因基础资料存在错误、遗漏导致承包人解释或推断失实的，按照第2.3项提供基础资料的规定承担责任。承包人发现基础资料中存在明显错误或疏忽的，应及时书面通知发包人。4.7.2 Unlessotherwisestipulatedintheparticularconditionshereof,thecontractorshallberesponsiblefortheinterpretationandinferencebasedonthebasicinformationsubmittedbythecontractor,ifthecontra

30、ctorsinterpretationorinferenceisfalseduetoerrorsoromissionsinthebasicinformation,itshallbeliableinaccordancewitharticle2.3.Ifthecontractorfindsanyobviouserrorsoromissionsexistinthebasicinformation,itshallnotifytheemployerinwritingintime.6.2材料和工程设备6.2MaterialsandEngineeringEquipment6.2.1发包人提供的材料和工程设备

31、6.2.1Materialsandengineeringequipmentoftheemployerprovide发包人自行供应材料、工程设备的，应在订立合同时在专用合同条件的附件发包人供应材料设备一览表中明确材料、工程设备的品种、规格、型号、主要参数、数量、单价、质量等级和交接地点等。Wheretheemployersuppliesmaterialsorengineeringequipmentonitsownzitshall,atthetimeofconclusionofthecontract,specifyintheappendixthe1.istofMaterialsandEquipme

32、ntSuppliedbytheEmployertotheparticularconditionshereofthevariety,specification,model,mainparameters,quantity,unitpricezqualitygradeandhandoverplaceofthematerialsandengineeringequipment.承包人应根据项目进度计划的安排，提前28天以书面形式通知工程师供应材料与工程设备的进场计划。承包人按照第8.4款项目进度计划约定修订项目进度计划时，需同时提交经修订后的发包人供应材料与工程设备的进场计划。发包人应按照上述进场计划，

33、向承包人提交材料和工程设备。Thecontractorshall,underandincompliancewiththeprojectprogram,notifytheengineerinwriting28daysinadvanceoftheentryplanforthesupplyofmaterialsandengineeringequipment.Whenthecontractormodifiestheprojectscheduleinaccordancewitharticle8.4ProjectSchedule,itshallsubmittherevisedentryplanforthe

34、employerssupplyofmaterialsandengineeringequipmentatthesametime.Theemployershallsubmitmaterialsandengineeringequipmenttothecontractorinaccordancewiththeaboveentryplan.发包人应在材料和工程设备到货7天前通知承包人，承包人应会同工程师在约定的时间内，赴交货地点共同进行验收。除专用合同条件另有约定外，发包人提供的材料和工程设备验收后，由承包人负责接收、运输和保管。Theemployershallnotifythecontractor7d

35、ayspriortoarrivalofthematerialsandengineeringequipment,andthecontractorshall,togetherwiththeengineer,arrivethedeliveryplacewithintheagreedtimeforacceptancecheck.Unlessotherwisestipulatedintheparticularconditionshereof,thecontractorshall,uponacceptancecheck,responsibleforreceiving,transportingandkeep

36、ingthematerialsandengineeringequipment.7.4测量放线7.4Measuringandsetting-out7.4.1 除专用合同条件另有约定外，承包人应根据国家测绘基准、测绘系统和工程测量技术规范，按基准点（线）以及合同工程精度要求，测设施工控制网，并在专用合同条件约定的期限内，将施工控制网资料报送工程师。7.4.2 Unlessotherwisestipulatedintheparticularconditionshereof,thecontractorshallmakethemeasurementandestablishmentoftheconstru

37、ctioncontrolnetworkunderandincompliancewiththeStatezsdatumandsystemofsurveyingandmapping,surveyingandmapping,thespecificationofengineeringmeasurementtechnology,thereferencepoint(line)andthecontractengineeringaccuracyrequire,inadditiontosubmitthedataoftheconstructioncontrolnetworktotheengineer.7.4.3

38、承包人应负责管理施工控制网点。施工控制网点丢失或损坏的，承包人应及时修复。承包人应承担施工控制网点的管理与修复费用，并在工程竣工后将施工控制网点移交发包人。承包人负责对工程、单位/区段工程、施工部位放线，并对放线的准确性负责。7.4.4 Thecontractorshallberesponsibleforthemanagementorcontrolexecutionoftheconstructioncontrolnetwork.Iftheconstructioncontrolnetworkislostordamaged,thecontractorshallrepairormakegooditi

39、ntime.Thecontractorshallbearthecostofmanagementandrepairoftheconstructioncontrolnetworkandhandovertheconstructioncontrolnetworktotheemployersubsequenttothecompletionoftheproject.Thecontractorisresponsibleforthesetting-outoftheproject,unit/articleproject,executionoftheworks,andtheaccuracyofthesetting

40、-out.第8条工期和进度Article8Durationandprogressschedule8.1 开始工作8.1Commencementofwork8.1.1 开始工作准备8.1.2 Readyforwork合同当事人应按专用合同条件约定完成开始工作准备工作。Thepartiesheretoshallcompletethepreparatoryworkforthecommencementundertheparticularconditionshereof.8.1.3 开始工作通知8.1.4 Notificationofcommencement经发包人同意后，工程师应提前7天向承包人发出经

41、发包人签认的开始工作通知，工期自开始工作通知中载明的开始工作日期起算。除专用合同条件另有约定外，因发包人原因造成实际开始现场施工日期迟于计划开始现场施工日期后第84天的，承包人有权提出价格调整要求，或者解除合同。发包人应当承担由此增加的费用和(或)延误的工期，并向承包人支付合理利润。Theengineershall,withtheemployer7sconsentsevendaysinadvance,issuethecontractorthenotificationofcommencementsignedbytheemployerandtheconstructionperiodshallrun

43、layedconstructionperiodinadditiontopayreasonableprofitstothecontractor.8.2 竣工日期8.2Completiondate承包人应在合同协议书约定的工期内完成合同工作。除专用合同条件另有约定外，工程的竣工日期以第10.1条竣工验收的约定为准，并在工程接收证书中写明。Thecontractorshallcompletethecontractworkwithinthetimelimitspecifiedinthecontractagreement.Unlessotherwisestipulatedintheparticularc

44、onditionshereof,thecompletiondateoftheprojectshallbesubjecttothestipulationsinarticle10.1CompletionAcceptanceandshallbestatedintheprojectacceptancecertificate.因发包人原因，在工程师收到承包人竣工验收申请报告42天后未进行验收的，视为验收合格，实际竣工日期以提交竣工验收申请报告的日期为准，但发包人由于不可抗力不能进行验收的除外。Providedthatiffailureoftheacceptancecarriedoutbytheengin

46、onplan8.3.1 项目实施计划的内容8.3.2 Contentoftheprojectimplementationplan项目实施计划是依据合同和经批准的项目管理计划进行编制并用于对项目实施进行管理和控制的文件，应包含概述、总体实施方案、项目实施要点、项目初步进度计划以及合同当事人在专用合同条件中约定的其他内容。Theprojectimplementationplanisthedocumentpreparedonbasisofthecontractandtheapprovedprojectmanagementplanandusedtomanageandcontroltheprojectimplementation,shallcontaintheoverview,generalimplementationplan,key-pointsofprojectimplementation,preliminaryprogressplanoftheprojectandothercontentsagreedbythepartiesheretointheparticularconditionshereof.
