7、gproceduressetforthinSection1.4hereinarefollowedandCarrieragreestotransportsuchshipmentsinaccordancewiththetermsandconditionsstatedherein.1.1根据本协议的条款和规定，托运人同意在本协议有效期内向承运人交付数量不确定的货物(按照以下定义)，但每年不少于一次，而承运人同意提供合适的运输设备(以下定义)来运输上述货物，但必须遵守本协议第L4条规定的预订程序，且承运人同意按照本协议规定的条款和条件运输此类货物。Section1.3Carriershallfurni

9、3PaymentofRatesandCharges第3条费率和费用的支付Section3.1Withinthirty(30)daysafterShippersreceiptofCarrier*sdeliveryreceiptShippershallpayCarriertheratesandchargesapplicabletotheshipmentofcargo.InexchangeforShippersguaranteeofpromptpayment,(i)agreesnottocontactShipperscustomers,consignors,consigneesoranypartyo

10、therthanShipperconcerningpaymentfortransportationservices;andz(ii)agreestoindemnify,defend,andholdShipper,itscustomers,consignors,andconsigneesharmlessfromanyclaimordemandmadebyanysubcontractorofCarrierorotherpartyforpaymentfortransportationservicesrelatedtoashipmentofcargotenderedunderthisAgreement

11、.3.1在托运人收到承运人的交货单后三十(30)天内，托运人应向承运人支付适用于货物运输的费率和费用。为换取托运人对及时付款的保证,(I)同意不与托运人的客户、发货人、收货人或托运人以外的任何一方就运输服务的付款进行联系；并且，(ii)同意对托运人、其客户、发货人和收货人进行赔偿、辩护，并使其免受承运人的任何分包商或其他方就与根据本协议提交的货物装运有关的运输服务付款提出的任何索赔或要求。ARTICLE4Term第4条有效期Section4.1ThisAgreementshallbecontinuouslyineffectbeginningasoftheEffectiveDate,unless

12、terminatedashereinprovided.4.1本协议应从生效日期开始持续有效，除非按本协议规定终止。Section4.2EitherpartymayterminatethisAgreementforanyreasonbygivingtheotherpartyatleastthirty(30)dayspriorwrittennotice.4.2任何一方都可以出于任何原因终止本协议，至少提前三十（30）天书面通知对方。ARTICLE8RepresentationsandWarrantiesofCarrier第8条承运人的陈述和保证Section8.1Carrierherebyrepr

13、esentsandwarrantstoShipper,thatasoftheEffectiveDateandasofthedateofeachShipment:8.1 承运人在生效日和每次装运日特此向托运人陈述和保证。(a)TheirFederalHighwayAdministrationpermitisvalidandisinfullforceandeffect,nothavingbeenrescindedoraffectedinanywayandCarrierhasobtainedandmaintainedallotherlicenses,permitsandauthorizationsa

15、oradefendantinanyIawsuitzorthesubjectofanyadministrativeorotherproceedinginstitutedbyanyfederal,stateorlocalgovernmentalagencyorentity,andtothebestofits(their)knowledgetherearenosuchproceedingsthreatened.(c)承运人(如果与承运人不同，则为货物的任何司机)过去和现在都没有受到任何起诉，或成为任何诉讼的被告，或成为任何联邦、州或地方政府机构或实体提起的任何行政或其他诉讼的对象，而且就其所知，没有

16、任何潜在的此类诉讼。ARTICLE10DriversandEquipment第10条司机和运输设备Section10.1Carriershallensurethathe/sheandhis/her/itsdriversareproperlytrainedandlicensed,andarecompetentandcapableofsafelyhandlingandtransportingShippersshipmentsofcargo.Carrieragreesthatdriverswillbedispatchedinaccordancewiththemaximumavailablehours

17、ofserviceasprovidedinrulespromulgatedbytheFMCSAwhileintheUnitedStatesorasprovidedbyanyCanadianauthoritywhosejurisdictioniswithinCarrier7sroute/trip.10.1承运人应确保他/她和他/她的司机都经过适当的培训和取得执照，并有能力和资格安全地处理和运输托运人的货物。承运人同意，在美国境内，或在承运人路线/行程范围内的任何加拿大当局的管辖范围内，将按照FMCSA颁布的规则所规定的最大可用服务时间来派遣司机。ARTICLE12DisputeResolutio

18、n第12条争议的解决Section12.4Discoveryshallbepermittedinconnectionwiththearbitrationonlytotheextent,ifanyzexpresslyauthorizedbythearbitrationpaneluponashowingofsubstantialneedbythePartyseekingdiscovery.12.4 与仲裁有关的信息披露应仅在仲裁庭明确授权的范围内（如有），在寻求信息披露的一方表明有实质需要的情况下才允许。Section12.5Allaspectsofthearbitrationshallbetre

19、atedasconfidential.ThePartiesandthearbitrator/panelmaydisclosetheexistence,contentorresultsofthearbitrationonlyasprovidedintheRulesorbytheParties.Beforemakinganysuchdisclosure,aPartyshallgivewrittennoticetoallotherPartiesandshallaffordsuchPartiesareasonableopportunitytoprotecttheirinterests.12.5 仲裁的所有方面都应作为机密处理。当事人和仲裁员/仲裁庭只能按照规则的规定或当事人的要求，披露仲裁的存在、内容或结果。在进行任何此类披露之前，一方应书面通知所有其他各方，并应给予这些各方合理的机会来保护其利益。
