工程合同中材料与设备的条款（中英文对照）工程合同中有关材料与设备的约定（中英文对照）AGREEMENTSONMATERIA1.SANDEQUIPMENT材料与设备MaterialandEquipment发包人供应材料与工程设备MaterialandEquipmentSuppliedbyEmployer承包人采购材料与工程设备MaterialandEquipmentPurchasedbyContractor发包人自行供应材料、工程设备的，应在签订合同时在专用合同条款的附件发包人供应材料设备一览表中明确材料、工程设备的品种、规格、型号、数量、单价、质量等级和送达地点。Wheretheemployeritselfsupplymaterialsandengineeringequipmentshould,atthetimeofenteringintocontract,intheannex"1.istofMaterialsandEquipmentSuppliedbyEmployer”ofparticularcondition,makestipulationofvarieties,specifications,types,quantity,priceandqualitygradeconcerningthematerialsandengineeringequipment,anddeliverylocation.承包人应提前30天通过监理人以书面形式通知发包人供应材料与工程设备进场。承包人按照第7.2.2项施工进度计划的修订约定修订施工进度计划时，需同时提交经修订后的发包人供应材料与工程设备的进场计划。Thecontractorshould,throughthesupervisor,on30dayspriorwrittennoticetotheemployerwiththesupplyofmaterialsandengineeringequipmentwillenterintotheworksite.ThecontractorrevisetheprogressschedulepursuanttoArticle7.2.2RevisionofConstructionSchedule,andatsametimesubmittherevisedsupplyplanofmaterialsandequipmentwhicharesuppliedbytheemployer.承包人负责采购材料、工程设备的，应按照设计和有关标准要求采购，并提供产品合格证明及出厂证明，对材料、工程设备质量负责。合同约定由承包人采购的材料、工程设备,发包人不得指定生产厂家或供应商,发包人违反本款约定指定生产厂家或供应商的，承包人有权拒绝，并由发包人承担相应责任。Wherethecontractorisresponsiblefortheprocurementofmaterials,engineeringequipment,thecontractorshalleffecttheprocurementpursuanttothedesignandrelevantstandard,submitcertificateofproductqualificationandcertificateofmerchandise,andliableforthequalityofmaterialandengineeringequipment.Providedthattheprocurementofmaterialsandengineeringequipmenteffectedbythecontractorundercontract,theemployershallnotdesignatethemanufacturerorsupplier,ifztheemployerviolatesthisarticlehereoffordesignationofmanufacturerorsupplier,thecontractorreservetherighttorefuseandthecorrespondingresponsibilitywillbebombytheemployer.材料与工程设备的接收与拒收ReceiptandRejectionofMaterialandEquipment发包人应按发包人供应材料设备一览表约定的内容提供材料和工程设备，并向承包人提供产品合格证明及出厂证明，对其质量负责。发包人应提前24小时以书面形式通知承包人、监理人材料和工程设备到货时间，承包人负责材料和工程设备的清点、检验和接收。Theemployershould,pursuanttothecontentsstipulatedin1.istofMaterialsandEquipmentsuppliedbytheemployer,furnishmaterialsandengineeringequipmentbeingaccompaniedbythecertificateofproductqualificationandcertificateofmerchandise,andberesponsibleforthequalitythereof.Theemployershould,on24hourspriorwrittennoticetothecontractorandthesupervisor,informthearrivaltimeofmaterialsandengineeringequipmentandthecontractorshallberesponsiblefortheinventory,inspectionandacceptanceofmaterialsandequipment.发包人提供的材料和工程设备的规格、数量或质量不符合合同约定的，或因发包人原因导致交货日期延误或交货地点变更等情况的，按照第16.1款发包人违约约定办理。Providedthatthespecifications,quantityorqualityofthematerialsandengineeringequipmentwhicharesuppliedbytheemployerarefoundnotinconformitywiththedescriptionsetoutincontractordelayofdeliverydateorchangeofdeliveryplaceandothermatters,willbeprocessedunderarticle16.1Employer7sBreach.承包人采购的材料和工程设备，应保证产品质量合格，承包人应在材料和工程设备到货前24小时通知监理人检验。承包人进行永久设备、材料的制造和生产的，应符合相关质量标准，并向监理人提交材料的样本以及有关资料，并应在使用该材料或工程设备之前监理人同意。Wheretheprocurementofmaterialsandengineeringequipmentiseffectedbythecontractorwhoshouldguaranteethequalityoftheproducts,thecontractorshould,on24hoursbeforearrivalofmaterialsandequipment,givenoticetothesupervisorforinspectionthereof.Incasethatthecontractoreffectthemanufactureandproductionofpermanentequipment,material,thecontractorshallabidebyrelevantqualitystandards,andsubmitmaterialsampleandrelevantinformationtothesupervisor,andshallacquirethesupervisor'sconsentbeforeusingthematerialandequipment.承包人采购的材料和工程设备不符合设计或有关标准要求时，承包人应在监理人要求的合理期限内将不符合设计或有关标准要求的材料、工程设备运出施工现场，并重新采购符合要求的材料、工程设备，由此增加的费用和（或）延误的工期，由承包人承担。Intheeventthatthematerialsandengineeringequipmentwhicharepurchasedbythecontractordonotmeetthedesignorrelevantstandard,thecontractorshould,withinthereasonableperiodoftimerequiredbythesupervisor,movethematerialsandengineeringequipmentwhichnotmeetthedesignorrelevantstandardfromworksite,andeffectre-procurementofthematerialandequipmentwhichareconformitywiththerequirementtheaddedexpenseand/ordelayedtermwillbebornbythecontractor.材料与工程设备的保管与使用CareandUseofMaterialandEngineeringEquipment发包人供应材料与工程设备的保管与使用CareandUseofMaterialandEngineeringEquipmentSuppliedbyEmployer发包人供应的材料和工程设备，承包人清点后由承包人妥善保管，保管费用由发包人承担，但已标价工程量清单或预算书已经列支或专用合同条款另有约定除外。因承包人原因发生丢失毁损的，由承包人负责赔偿；监理人未通知承包人清点的，承包人不负责材料和工程设备的保管，由此导致丢失毁损的由发包人负责。发包人供应的材料和工程设备使用前,由承包人负责检验，检验费用由发包人承担，不合格的不得使用。Thesupplyofmaterialsandengineeringequipmentbytheemployerwillzsubsequenttomakeaninventory,besafekeptcarefullybythecontractorandtheexpenseofcareandcustodywillbebornbytheemployer,providedthatunlessotherwiseprovidedthepricedbillofquantitiesorbudgetbookswiththeexpenseofsuchkindorotherstipulationinparticularcondition.Whereanylossordamageduetothecontractor1sreason,thecompensationthereofwillbeeffectedbythecontractor;ifzthesupervisorfailstonotifythecontractortocount,thecontractorisnotresponsibleforthecustodyofthematerialsandconstructionequipment,theanylossanddamagearisingtherefromwillbetheresponsibilityoftheemployer.Thematerialsandengineeringequipmentsuppliedbytheemployerwill,priortobeingused,bemadeinspectionbythecontractor,theexpenseofinspectionwillbefortheaccountoftheemployer.Theunqualifiedgoodsshallnotbeused.承包人采购材料与工程设备的保管与使用CareandUseofMaterialsandEngineeringEquipmentSuppliedbyContractor承包人采购的材料和工程设备由承包人妥善保管，保管费用由承包人承担。法律规定材料和工程设备使用前必须进行检验或试验的，承包人应按监理人的要求进行检验或试验，检验或试验费用由承包人承担，不合格的不得使用。Thematerialsandengineeringequipmentpurchasedbythecontractorshallbeproperlykeptbythecontractor,andtheexpensethereofwillbefortheaccountofthecontractor.Providedthatifzthematerialorengineeringequipmentshould,priortobeingusezbeinspectedortestedbeforeuseunderlaw,sstipulation,thecontractorshouldzuponrequestofthesupervisor,effectsuchinspectionandtest,theexpensetherefromwillbebornbythecontractor.Theunqualifiedmaterialsshallnotbeused.发包人或监理人发现承包人使用不符合设计或有关标准要求的材料和工程设备时，有权要求承包人进行修复、拆除或重新采购，由此增加的费用和（或）延误的工期，由承包人承担。Wheretheemployerorthesupervisorfindthecontractoruseanymaterialand/orengineeringequipmentwhicharenotmeetthedesignrequirementsorrelevantstandards,reservetherightstorequirethecontractortorepair,demolitionorre-purchaseztheincreasedcostsand/ordelayedworktermwillbebornbythecontractor.禁止使用不合格的材料和工程设备Prohibitionofuseofthesubstandardmaterialsandengineeringequipment监理人有权拒绝承包人提供的不合格材料或工程设备，并要求承包人立即进行更换。监理人应在更换后再次进行检查和检验，由此增加的费用和（或）延误的工期由承包人承担。Thesupervisorshallhaverighttorefusetheunqualifiedorsubstandardmaterialsorengineeringequipmentsuppliedbythecontractorandrequirethecontractortoreplaceforthwith.There-checkandre-inspectionshouldbeeffectedbythesupervisorfollowingthereplacement,wherebytheaddionalcostand/ordelaytermshallbebornbythecontractor.监理人发现承包人使用了不合格的材料和工程设备，承包人应按照监理人的指示立即改正，并禁止在工程中继续使用不合格的材料和工程设备。Wherethesupervisorfindsoutthatthecontractorhasusedunqualifiedmaterialsandengineeringequipment,thecontractorshallcorrectimmediatelyasinstructedbythesupervisor,andshallnotcontinuetouseofthesubstandardmaterialsandengineeringequipmentintheworks.发包人提供的材料或工程设备不符合合同要求的，承包人有权拒绝，并可要求发包人更换,由此增加的费用和（或）延误的工期由发包人承担，并支付承包人合理的利润。Providedthatifthematerialsorengineeringequipmentdoesnotsatisfytherequirementsofcontract,thecontractorreservetherighttorefusetoacceptandmayrequiretheemployertoeffectreplacementthereof,andtheincreasingexpenseand/ordelayedterm,inadditiontothereasonableprofit,shallbebornbytheemployer.PlantzMaterialsandWorkmanship生产设备、材料和工艺TheContractorshallcarryoutthemanufactureofPlant,theproductionandmanufactureofMaterials,andallotherexecutionoftheWorks:承包商应按以下方法进行生产设备的制造、材料的生产加工、以及工程的所有其他实施作业。“Materials“meansthingsofallkinds(otherthanPlant)intendedtoformorformingpartofthePermanentWorkszincludingthesupply-onlymaterials(ifany)tobesuppliedbytheContractorundertheContract.材料系指拟构成或正构成永久工程一部分的各类物品(生产设备除外)，包括根据合同要由承包商供应的只供材料(如果有).TheClientshallmakeavailable,freeofcost,totheConsultantforthepurposeoftheServicestheequipmentandfacilitiesdescribedinAppendixB.业主应为服务之目的,免费向咨询工程师提供附件B中所规定的设备和设施。thecostofmaterials,PlantorgoodsreasonablyorderedfortheWorkswhichhavebeendeliveredtotheContractororofwhichtheContractorislegallyliabletoacceptdelivery,suchmaterials,PlantorgoodsbecomingthepropertyoftheEmployeruponsuchpaymentsbeingmadebyhim;为该工程所合理定购的材料、工程设备或货物的费用，如已将其交付给承包商或承包商对之依法有责任收货时，则业主一经支付此项费用，该项材料、工程设备或货物即成为业主的财产；CONTRACTORshallalsoprovideatitsexpenseanyitemsofequipmentspareparts,supplies,services,orPersonnelwhicharenotmentionedinAppendices"A","B"ornCbutwhicharerequiredfortheoperationandmaintenanceofCONTRACTOR,SRigandequipmentfornormalonshoredrillingoperations,accordingtogoodoilfieldpractice.对于附件AB和C中没有明确规定的设备、备用件、材料、服务或人员，但，根据通行的油田惯例，为了正常的陆地钻井施工，为了承包商钻机及设备的运行和维护，又需要这些设备、备用件、材料、服务或人员，承包商应自付费用提供这些项目。CONTRACTORshalltakecareandproperlymaintainthematerialsand/orequipmentfurnishedbyCOMPANYtotheextentofthecapacityofCONTRACTORpersonnelpresentattherigsitezprovided,however,thatCOMPANYshall,providemaintenanceproceduresandatitsexpense,furnishallsparepartsandmaterialsrequiredtomaintainorrepairCOMPANYitems.UponcompletionoftheoperationCONTRACTORshallreturntoCOMPANYanyCOMPANYitems,atthattimeinCONTRACTORfSpossession.承包商应尽其所能看护好公司提供到现场的材料或设备，但规定，公司提供维修保养程序并自负费用提供用于维护其设备所需要的零部件和材料。施工完毕，承包商把公司剩余的零部件和材料退还给公司。本工程项目中，设计人不得指定建筑材料、设备的生产厂或供货商。发包人需要设计人配合建筑材料、设备的加工订货时，所需费用由发包人承担。IntheprojectsoftheContract,DesignershallnotappointmanufacturersorDesignersofconstructionmaterialsandequipment.WherethereisanecessitythatDesignershallcooperatewithEmployerinorderingtheprocessofconstructionmaterialsandequipment,therelevantchargeshallbepaidbyEmployer.工程设备是指预定构成或构成永久工程一部分的机械、仪器以及类似设备。"Plant"meansmachinery,apparatusandthelikeintendedtoformorformingpartofthePermanentWorks.承包商的设备是指在工程实施、完成及其缺陷修补过程中所需要的全部装置和田可性质的物品，但不包括预定构成或构成永久工程一部分的设备、材料或其它物品。"ContractorEquipment"meansallappliancesandthingsofwhatsoevernature(otherthanTemporaryWorks)requiredfortheexecutionandcompletionoftheWorksandtheremedyingofanydefectstherein,butdosenotincludePlant,materialsorotherthingsintendedtoformorformingpartofthePermanentWorks.Projectcontent:PartyBcontractsthePartyAschoolpipelinepurewaterproject,includingtheengineeringdesign,theequipmentacquisitionofmaterialandthesupply,theprojectconstruction,thesystemoperatortraining.工程内容：乙方承包甲方学校管道纯净水工程，含工程设计、设备材料采购与供应、工程施工、系统操作人员培训。
