1 Inordertostandardizeactsofdevelopmentandmanagementofurbanrealestate,tostrengthentheSUPerViSionandadministrationofdevelopmentandmanagementofurbanrealestate,andtopromoteandprotectthehealthydevelopmentofthebusinessofrealestate,thepresentOrdinanceisformulatedinaccordancewithrelevantprovisionsoftheUrban第一条为了规范房地产开发经营行为,加强对城市房地产开发经营活动的监督管理,促进和保障房地产业的健康发展,根据中华人民共和国城市房地产管理法的有关规定,制定本条例。RealEstateAdministrationLawofthePeople'sRepublicofChina.Article 2 Developmentandmanagementofrealestate,asreferredtointhepresentOrdinance,refertoactsoftheconstructionofinfrastructureandtheconstructionofhousesonstate-ownedlandwithinurbanplanningareasandthetransferofprojectsofdevelopmentorthesalesandleaseofcommercialhousingbyenterprisesfordevelopmentofrealestate.Article 3 Developmentandmanagementofrealestateshall,inaccordancewiththeprincipleoftheunificationofeconomicbenefits,socialbenefitsandenvironmentalbenefits,plancomprehensively,layoutreasonably,developintegratedlyandconstructconcertedly.Article 4 TheconstructionadministrativeorganundertheStateCouncilshallberesponsibleforthesupervisionandadministrationofactsofdevelopmentandmanagementofrealestateinthewholecountry.Organsoflocalpeople'sgovernmentsatorabovethecountylevelresponsibleforadministrationofdevelopmentandmanagementofrealestateshallberesponsibleforactsofdevelopmentandmanagementofrealestatewithintheirrepecliveadministrativeregions.Inaccordancewiththeprovisionsoflawsandadministrativeregulations,organsofpeople'sgovernmentsatorabovethecountylevelresponsibleforlandadministrationshallbe第二条本条例所称房地产开发经营,是指房地产开发企业在城市规划区内国有土地上进行基础设施建设、房屋建设,并转让房地产开发项目或者销售、出租商品房的行为。第三条房地产开发经营应当按照经济效益、社会效益、环境效益相统一的原则,实行全面规划、合理布局、综合开发、配套建设。第四条国务院建设行政主管部门负责全国房地产开发经营活动的监督管理工作。县级以上地方人民政府房地产开发主管部门负责本行政区域内房地产开发经营活动的监督管理工作。县级以上人民政府负责土地管理工作的部门依照有关法律、行政法规的规定,负责与房地产开发经营有关的土地管理工作。responsiblefortheadministrationoflandconcerningdevelopmentandmanagementofrealestate.ChapterIlEnterprisesfortheDevelopmentofRealEstateArticle5Besidescomplyingwiththerequirementsofestablishmentofenterprisesstipulatedinrelevantlawsandadministrativeregulations,toestablishenterprisesforthedevelopmentofrealestate,thefollowingrequirementsshallalsobemet:(1)haveregisteredcapitalof1,000,000yuanormore;(2)have4ormorefull-timetechnicalpersonnelinthefieldsofrealestateandconstructionengineering,whohaveobtainedcertificateofqualifications,and2full-timeaccountingpersonnelwithcertificateofqualifications.Inaccordancewithlocalsituations,people'sgovernmentsofprovinces,autonomousregionsandmunicipalitiesdirectlyunderthestatecouncilmaymakerequirementshigherthanthepreviousparagraphfortheestablishmentofenterprisesfordevelopmentofrealestateconcerningregisteredcapitalandthequalificationsofprofessionaltechnicalpersonnel.Article6Wheninvestingtoestablishrealestatedevelopmententerprises,aforeignmerchantshall,besidescomplyingwiththeprovisionsofArticle5ofthepresentOrdinance,completetheprocessofexaminationandapprovalinaccordancewiththeprovisionsoflawsandadministrativeregulations第二章房地产开发企业第五条设立房地产开发企业,除应当符合有关法律、行政法规规定的企业设立条件外,还应当具备下列条件:(一)有ToO万元以上的注册资本;(二)有4名以上持有资格证书的房地产专业、建筑工程专业的专职技术人员,2名以上持有资格证书的专职会计人员。省、白治区、直辖市人民政府可以根据本地方的实际情况,对设立房地产开发企业的注册资本和专业技术人员的条件作出高于前款的规定。第六条外商投资设立房地产开发企业的,除应当符合本条例第五条的规定外,还应当依照外商投资企业法律、行政法规的规定,办理有关审批手续。concerningforeign-investedenterprises.(3) capital;()验资证明:Article7Theestablishmentofrealestatedevelopmententerprisesshallapplytoberegisteredwithadministrativeorgansforcommerceandindustryofpeople'sgovernmentsatorabovethecountylevel.ForapplicationsthatmeetthetherequirementsofArticle5ofthepresentOrdinance,administrativeorgansforindustryandcommerceshallregisterwithin30daysafterreceivingtheapplication;forthosethatdon'tmeettherequirementsandsoshallnotberegistered,thereasonsthereforshallbeexplained.Whenexaminingapplicationforregistrationoftheestablishmentofrealestatedevelopmententerprises,administrativeorgansforindustryandcommerceshallheartheopinionoftheadministrativedepartmentsresponsibleforrealestatedevelopmentatthesamelevel.Article8Within30daysafterdrawingmanagementcertificate,enterprisesforrealestatedevelopmentshallputonrecordwiththefollowingdocumentswithadministrativeorgansresponsibleforrealestatedevelopmentoftheregionoftheadministrativeorganofregistration:(1) acopyofthemanagementcertificate;(2) thecharteroftheenterprise;第七条设立房地产开发企业,应当向县级以上人民政府工商行政管理部门申请登记。工商行政管理部门对符合本条例第五条规定条件的,应当自收到申请之日起30日内予以登记;对不符合条件不予登记的,应当说明理由。工商行政管理部门在对设立房地产开发企业申请登记进行审查时,应当听取同级房地产开发主管部门的意见。第八条房地产开发企业应当自领取营业执照之日起30日内,持下列文件到登记机关所在地的房地产开发主管部门备案:(一)营业执照复印件;(二)企业章程;(4) IDofthelegalrepresentativeoftheenterprise;(四)企业法定代表人的身份证明;(5) certificateofqualificationsandcontractofemploymentofprofessionaltechnicalpersonnel.Article9Inaccordancewiththeassets,professionaltechnicalpersonnelandachievementsindevelopmentandmanagementofrealestatedevelopmententerprises,administrativeorgansresponsibleforrealestatedevelopmentshallcheckandratifythelevelofqualificationsoftheenterpriseofrealestatedevelopmentthathasbeenputonrecord.Enterprisesofrealestatedevelopmentshallreceiveprojectsofrealestatedevelopmentinaccordancewiththelevelofqualificationsasratified.ThedetailedmeasuresshallbeformulatedbyconstructionadministrationorganundertheStateCouncil.ChapterIIIRealEstateDevelopmentConstructionArticle 10 Realestatedevelopmentprojectsshallbeascertainedinaccordancewiththerequirementsoftheoverallplanforlanduse,annualplanforlanduseforconstructionandurbanplan,annualplanofrealestatedevelopment;thosethatshallbeapprovedbyadministrativeorgansforplanninginaccordancewithrelevantstateregulationsshallapplyforapprovaltoadministrativeorgansforplanningandshallbeconsolidatedintoannualassetsinvestmentsplan.Article 11 Theascertainmentofrealestatedevelopment(五)专业技术人员的资格证书和聘用合同。第九条房地产开发主管部门应当根据房地产开发企业的资产、专业技术人员和开发经营业绩等,对备案的房地产开发企业核定资质等级。房地产开发企业应当按照核定的资质等级,承担相应的房地产开发项目。具体办法由国务院建设行政主管部门制定。第三章房地产开发建设第十条确定房地产开发项目,应当符合土地利用总体规划、年度建设用地计划和城市规划、房地产开发年度计划的要求;按照国家有关规定需要经计划主管部门批准的,还应当报计划主管部门批准,并纳入年度固定资产投资计划。第H-一条确定房地产开发项目,应当坚持旧区改projectsshall,inaccordancewiththeprincipleofintegrationof建和新区建设相结合的原则,注重开发基础设施薄弱、交通拥挤、环境污染严重以及危旧房屋集中的区域,保护和改善城市生态环境,保护历史文化遗产。第十二条 房地产开发用地应当以出让方式取得;但是,法律和国务院规定可以采用划拨方式的除外。土地使用权出让或者划拨前,县级以上地方人民政府城市 规划行政主管部门和房地产开发主管部门应当对下列事项提出书面意见,作为土地使用权出让或者划拨的依据之(一)房地产开发项目的性质、规模和开发期限;(二)城市规划设计条件;(三)基础设施和公共设施的建设要求:(四)基础设施建成后的产权界定:thereconstructionoftheolddistrictsandtheconstructionofnewdistricts,focusonthedevelopmentoftheareaswheretheinfrastructureisweak,thecommunicationiscongested,theenvironmentalpollutionissevereorthehousesthataredangerousandoldareconcentrated;themunicipalentironmentshallbeprotectedandimproved,andthehistoricalandculturalheritageshallbeprotected.Article 12 Thelandforrealestatedevelopmentshallbeobtainedthroughremising;however,thisshallnotapplywhenitcanbeobtainedthroughtransferinaccordancewiththeprovisionsofthelawsandtheregulationsoftheStateCouncil.Beforetherighttouselandisremisedortransferred,administrativeorgansresponsibleforurbanplanningandadministrativeorgansresponsibleforrealestatedevelopmentoflocalpeople'sgovernmentsatorabovethecountylevelshallgivewrittenopiniononthefollowingmatters,whichshallbethegroundforremisingortransferringtherightofusingland:(1) theessence,scaleanddurationofdevelopmentoftheprojectofrealestatedevelopment;(2) theengineeringrequirementsofurbanplanning;(3) theconstructionrequirementsconcerninginfrastructureandpublicutilities;(4) thedefinitionofpropertyrightsaftertheinfrastructureisconstructed;Article 16 The real estate projects developed and constructed第十六条房地产开发企业开发建设的房地产项(5) therequirementsconcerningthecompensationandaftercareinrelocationoftheproject.Article 13 Thesystemofcapitalcashshallbesetupinrealestatedevelopment;theratioofcapitalcashtototalinvestmentoftheprojectshallnotbelowerthan20%.Article 14 Thedevelopmentandconstructionofrealestatedevelopmentprojectsshallhaveoverallarrangementinrelevantinfrastructure,whichshallbecarriedoutaccordingtotheprincipleofundergroundfirst,overgroundsecond.Article 15 EnterprisesofrealestatedevelopmentshallcarryoutthedevelopmentandconstructionoftheprojectinaccordancewiththeuseanddurationsOfbeginningworkandconstructionasstipulatedinthecontractforremisingoftherighttouseland.Whentheworkhasnotbeenstartedafteroneyearsincethedurationofconstructionhaselapsed,chargeforidlelandwhichisequivalenttolessthan20%ofthepriceforremisingtherighttouselandmaybecollected;whentheworkhasnotbeenstartedaftertwoyearshaveelapsed,therighttouselandcanbetakenbackwithoutconsideration.However,thepreviousstipulationsshallnotapplywhenthedelayinbeginningworkiscausedbyforcemajeureoractsofgovernmentandrelevantdepartmentsunderthegovernmentortheindispensiblepreliminaryworkbeforestartingwork.(五)项目拆迁补偿、安置要求。第十三条房地产开发项目应当建立资本金制度,资本金占项目总投资的比例不得低于20%o第十四条房地产开发项目的开发建设应当统筹安排配套基础设施,并根据先地下、后地上的原则实施。第十五条房地产开发企业应当按照土地使用权出让合同约定的土地用途、动工开发期限进行项目开发建设。出让合同约定的动工开发期限满1年未动工开发的,可以征收相当于土地使用权出让金20%以下的土地闲置费;满2年未动工开发的,可以无偿收回土地使用权。但是,因不可抗力或者政府、政府有关部门的行为或者动工开发必需的前期工作造成动工迟延的除外。byenterprisesforrealestatedevelopmentshallcomplywiththeprovisionsofrelevantlawsandregulationsandPrQjeCtquality,securitystandardsandtechnicalregulationsconcerningthereconnaissance,design,andconstructionandtheprovisionsofthecontract.Realestatedevelopmententerprisesshallberesponsibleforthequalityoftherealestatedevelopmentprojectsdevelopedandconstructedbythem.Unitsofreconnaissance,design,constructionandsupervisionshallbearcorrespondingresponsibilitiesinaccordancewiththeprovisionsofrelevantlaws,regulationsandthecontract.Article 17 Realestatedevelopmentprojectsshallnotbedeliveredforusebeforetheyarecompletedandcheckedandacceptedasqualified.Afterrealestatedevelopmentprojectsarecompleted,realestatedevelopmententerprisesshallapplyforcheckandacceptanceaftercompletionwithadministrativeorgansresponsibleforrealestatedevelopmentofpeoplesgovernmentsatorabovethecountyleveloftheregionwheretheprojectislocated.Within30daysafterreceivingtheapplicationforcheckandacceptanceaftercompletion,theadministrativeorgansforrealestatedevelopmentshallcheckandaccepttogetherwithrelevantdepartmentsorunitsforprojectqualitysupervision,planning,fireprevention,people's目,应当符合有关法律、法规的规定和建筑工程质量、安全标准、建筑工程勘察、设计、施工的技术规范以及合同的约定。房地产开发企业应当对其开发建设的房地产开发项目的质量承担责任。勘察、设计、施工、监理等单位应当依照有关法律、法规的规定或者合同的约定,承担相应的责任。第十七条房地产开发项目竣工,经验收合格后,方可交付使用;未经验收或者验收不合格的,不得交付使用。defence, thecircumstancesofthecheckandacceptanceofconstructionqualityofseparateprojects;(4) thecircumstancesoftheimplementationoftheplanofrelocation;(5) thecircumstancesoftheimplementationofrealestateadministration.Grouphousingrealestatedevelopmentprojectssuchashousingdistricts,whicharedevelopedininstallmentsmaybecheckedandacceptedininstallments.Article 19 Realestatedevelopmententerprisesshallregisterinthepamphletofrealestatedevelopmentprojectsthemajoraffairsinthecourseoftheconstructionoftherealestatedevelopmentproject;theyshallalsoberegularlyputonrecordwithadministrativeorgansresponsibleforrealestate第十八条住宅小区等群体房地产开发项目竣工,应当依照本条例第十七条的规定和下列要求进行综合验收:(一)城市规划设计条件的落实情况;(二)城市.规划要求配套的基础设施和公共设施的建设情况;(三)单项工程的工程质量验收情况;(四)拆迁安置方案的落实情况;(五)物业管理的落实情况。住宅小区等群体房地产开发项目实行分期开发的,可以分期验收。第十九条房地产开发企业应当将房地产开发项目建设过程中的主要事项记录在房地产开发项目手册中,并定期送房地产开发主管部门备案。第四章房地产经营development.ChapterIVManagementofRealEstateArticle 20 ThetransferofrealestatedevelopmentprojectsshallbeinaccordancewiththerequirementsofArticle39andArticle40ofUrbanRealEstateAdministrationLawofthePeople'sRepublicofChina.Article 21 Whentransferringrealestatedevelopmentprojects,thetransferorandthetransfereeShalLwithin30daysafterthecompletionoftheformalitiesoftheregistrationofthetransferoftherighttotheuseofland,putonrecordwithadministrativeorgansresponsibleforrealestatedevelopmentwiththecontractforthetransferofrealestatedevelopmentproject.Article 22 Whenrealestatedevelopmententerprisestransferrealestatedevelopmentprojectsandtherelocationandcompensationhavenotbeencompleted,therelevantrightsandobligationsintheoriginalcontractforrelocationandcompensationshallbetransferredtothetransfereetherewith.Thetransferorshallgivewrittennoticetothepersonsbeingrelocated.Article 23 Whensellingcommercialhousinginadvance,realestatedevelopmententerprisesshallmeetthefollowingrequirements:(1) havepaidalltheremunerationforassignmentoftheright第二十条转让房地产开发项目,应当符合中华人民共和国城市房地产管理法第三十九条、第四十条规定的条件。第二1一条转让房地产开发项目,转让人和受让人应当自土地使用权变更登记手续办理完毕之日起30日内,持房地产开发项目转让合同到房地产开发主管部门备案。第二十二条房地产开发企业转让房地产开发项目时,尚未完成拆迁补偿安置的,原拆迁补偿安置合同中有关的权利、义务随之转移给受让人。项目转让人应当书面通知被拆迁人。第二十三条房地产开发企业预售商品房,应当符合下列条件:(一)已交付全部土地使用权出让金,取得土地使用权证totheuseoflandandobtainedcertificateofthetherighttotheuseofland;(2) havecertificateofconstructionprojectplanningandcertificateofconstruction;(3) calculatedinaccordancewiththecommercialhousingprovidedforadvancesale,thecapitalthathasalreadybeeninvestedhasattained25%ormoreoftotalinvestment,andtheprogressofconstructionandthedateforcompletionanddeliveryhavebeenascertained;(4) theregistrationforadvancesalehasbeencompletedandthecertificateofpermissionofadvancesaleofcommercialhousinghasbeenobtained.Article 24 Whenapplyingforregistrationofadvancesaleofcommercialhousing,enterprisesofrealestatedevelopmentshallsubmitthefollowingdocuments:(1) thecertifyingmaterialsasstipulatedinSections(1)to(3)ofArticle23ofthisOrdinance;(2) managementcertificateandcertificateofthelevelofqualifications;(3) contractofconstruction;(4)
